Agreement to Terms
By engaging GC Pixel Studio ("Company," "we," "us," or "our") for web development services, you ("Client," "you," or "your") agree to be bound by these Terms of Service. These terms, along with any project proposal or agreement, constitute the entire agreement between the parties.
If you are entering into this agreement on behalf of a company or organization, you represent that you have the authority to bind that entity to these terms.
Services
Scope of Work
All services will be outlined in a project proposal or statement of work. The scope includes only the features, pages, and functionality explicitly described. Any work beyond the agreed scope will require a change order and may incur additional fees.
Client Responsibilities
The Client agrees to:
- Provide all necessary content (text, images, logos, branding guidelines) in a timely manner
- Designate a single point of contact for project communication
- Respond to feedback requests within 5 business days
- Ensure all provided content is original or properly licensed
- Test and approve deliverables at each milestone
Third-Party Services
Some projects may require third-party services (hosting, domain registration, APIs, plugins). Unless explicitly included, these are the Client's responsibility and may incur separate costs.
Pricing & Payment
Payment Schedule
For larger projects, milestone-based payments may be arranged. All prices are in USD unless otherwise specified.
Late Payments
Invoices are due within 14 days of issue. Late payments may incur a fee of 1.5% per month. We reserve the right to pause work until outstanding balances are resolved.
Additional Work
Work outside the original scope will be quoted separately and requires written approval before proceeding.
Timeline & Delivery
Estimated timelines are provided in the project proposal. These depend on:
- Timely receipt of content and assets from the Client
- Prompt feedback and approvals at each stage
- No significant scope changes during development
Note: Delays caused by late content or feedback will extend the timeline accordingly and are not the responsibility of GC Pixel Studio.
Final delivery includes transfer of all files, access credentials, and documentation as specified in the project scope.
Ownership & Intellectual Property
Client Content
You retain full ownership of all content you provide (text, images, logos, trademarks). You warrant that you have the right to use this content and that it does not infringe on third-party rights.
Deliverables
Upon full payment, you receive ownership of:
- Custom design files created specifically for your project
- Custom code developed for your website
- All final project files
What Remains Ours
GC Pixel Studio retains rights to:
- Pre-existing code libraries, frameworks, and tools
- General concepts and techniques
- The right to display the work in our portfolio (unless confidentiality is agreed)
Open Source & Third-Party Components
Projects may include open-source software or third-party components, which remain subject to their respective licenses.
Revisions & Changes
Each project includes a defined number of revision rounds (typically 2-3) as specified in your proposal.
What Counts as a Revision
- Changes to colors, fonts, or styling
- Layout adjustments within the existing structure
- Content updates or text changes
- Minor feature tweaks
What Counts as Additional Work
- Adding new pages or sections
- New features not in the original scope
- Complete redesigns of approved elements
- Changes after project completion/launch
Additional revisions or changes beyond the included rounds will be billed at our hourly rate.
Warranties
We warrant that:
- Work will be performed professionally and to industry standards
- Deliverables will substantially match the approved specifications
- Code will be clean, well-organized, and functional
Bug Fixes
We provide 30 days of free bug fixes after project launch for issues related to our code. This does not cover:
- Changes made by the Client or third parties
- Issues caused by hosting environment
- Third-party plugin or API changes
- Feature requests or enhancements
Limitation of Liability
To the maximum extent permitted by law:
- Our total liability shall not exceed the total amount paid for the specific project
- We are not liable for indirect, incidental, or consequential damages
- We are not responsible for lost profits, data loss, or business interruption
- We do not guarantee specific search engine rankings or business results
We provide websites "as-is" after the warranty period. We are not responsible for ongoing security, updates, or performance unless a maintenance plan is in place.
Termination
By the Client
You may terminate the project at any time by providing written notice. In such case:
- You pay for all work completed to date
- Deposits are non-refundable
- You receive all completed deliverables (upon payment)
By GC Pixel Studio
We may terminate if:
- Payment is not received within 30 days of due date
- Client is unresponsive for more than 30 days
- Client requests work that is unethical, illegal, or harmful
- Working relationship becomes unworkable
In such cases, fees for completed work remain due, and we will provide all deliverables up to that point.
General Terms
Governing Law
These terms are governed by the laws of the State of Florida, USA. Any disputes will be resolved in the courts of Orange County, Florida.
Confidentiality
Both parties agree to keep confidential information private. This includes business strategies, proprietary processes, and non-public data shared during the project.
Amendments
These terms may be updated from time to time. Significant changes will be communicated. Continued use of our services constitutes acceptance of updated terms.
Severability
If any provision is found unenforceable, the remaining provisions remain in effect.
